SAAT keurt principe van MTF-notering goed
Buitengewone Vergaderingen Triodos Bank en Stichting Administratiekantoor Aandelen Triodos Bank (SAAT) - keuren alle voorstellen goed
Triodos Bank N.V. maakt vandaag bekend dat haar Buitengewone Algemene Vergadering van Aandeelhouders (BAVA) en de SAAT-Vergadering alle voorstellen op hun respectievelijke agenda's hebben aangenomen.
Buitengewone Algemene Vergadering van Triodos Bank N.V.
Buitengewoon dividend
De BAVA heeft ingestemd met de uitkering van een buitengewoon dividend van EUR 1,01 ten belope van een bedrag van EUR 14,4 miljoen, dat verband houdt met de intrekking van het eerder voorgestelde beperkte terugkoopprogramma van Certificaten van aandelen.
Multilaterale Handelsfaciliteit (MTF – Multilateral Trading Facility)
De BAVA heeft de notering van de certificaten van aandelen op een MTF goedgekeurd. De voorbereidingen voor de voorgenomen notering verlopen volgens plan. Triodos Bank ligt momenteel op schema om het proces in het tweede kwartaal van 2023 af te ronden.
Benoeming van Kristina Flügel tot lid van de Raad van Commissarissen
De BAVA heeft Kristina Flügel benoemd tot lid van de Raad van Commissarissen voor een termijn van vier jaar, die eindigt na de jaarlijkse Algemene Vergadering in 2026.
Kennisgeving van voorgenomen verlenging van de benoeming van Willem Horstmann
De BAVA is in kennis gesteld van de voorgenomen verlenging van de benoeming van Willem Horstmann als lid van de Raad van Bestuur, in de rol van Chief Financial & Risk Officer (CFRO), voor een periode tot uiterlijk 1 april 2023. Deze voorgenomen benoeming is onder voorbehoud van goedkeuring door De Nederlandsche Bank.

Benoeming van Alexander Rinnooy Kan tot bestuurslid van SAAT
De Vergadering van Certificaathouders van de Stichting Administratiekantoor Aandelen Triodos Bank (SAAT) heeft Alexander Rinnooy Kan benoemd tot bestuurslid van SAAT voor een periode die aanvangt op 1 januari 2023 en eindigt na de jaarlijkse Vergadering van Certificaathouders van SAAT in 2026.
